1. Introduction
These General Conditions for Authors (hereinafter the “GCA”) govern the sale of digital content (hereinafter the “Content”) by independent authors (hereinafter the “Authors”) on the Market platform, a service of SIDL CORPORATION .
Market allows Authors to sell their own digital files (documents, images, videos, software, etc.) to Customers, while respecting these CGA. By registering as an Author on Market, you accept these conditions without reservation.
2. Registration and Author account
To sell content on Market, the Author must create a personal account and provide truthful and complete information. The Author is responsible for managing his account and payment information, and agrees to update them if necessary.
3. Nature of the Contents offered for sale
Authors can put digital files on sale on Market such as:
The Author guarantees that the content offered is his own creation or that he has all the necessary rights to sell it (licenses, copyrights, etc.). The content must not infringe the rights of third parties or applicable laws.
4. Copyright and Intellectual Property
By placing Content for sale on Market, the Author retains all of his intellectual property rights. However, the Author grants Market a non-exclusive license to host, distribute, display and promote the Content on the platform for the purpose of sale.
The Author guarantees that he has the necessary exploitation rights to sell the Content and that he is not in violation of copyright or intellectual property legislation.
5. Pricing of Content
The Author freely sets the price of his Content, provided that he respects Market's pricing policies. The price must be indicated in euros and include all applicable taxes.
Market reserves the right to revise transaction fees and the commission applicable to sales. Changes will be notified to Authors before they come into effect.
6. Payment terms and commission
Market charges a commission on each sale made by the Author. This commission is deducted directly from the revenue generated by the sales. The terms and conditions for calculating and paying the commission are available in the "Commissions" section of the Author area.
Payments are made monthly or as otherwise set by Market, subject to meeting minimum payment requirements. The Author is responsible for providing accurate banking information for the transfer of funds.
7. Delivery of Contents
The Digital Content is delivered to Customers in the form of a download link after validation of the order. The Author undertakes to guarantee the availability of the Content and to provide a file that complies with the description presented on the platform.
8. Right of withdrawal
In accordance with the legal provisions in force, the Author acknowledges that the right of withdrawal does not apply to digital products immediately downloadable after purchase, in accordance with article L221-28 of the Consumer Code.
9. Responsibility of Authors
The Author is solely responsible for the Content that he offers for sale on Market. He must ensure that his Content complies with the laws in force and that it does not contain any defamatory, illegal or third-party rights-infringing elements.
The Author agrees to indemnify Market in the event of a claim or dispute arising from the sale of its Content, particularly in the event of violation of intellectual property rights.
10. Removal of Content
Market reserves the right to remove any Content deemed not to comply with these General Terms and Conditions or with current legislation. The Author will be informed in the event of removal of his Products from the platform, and Market may, in the event of a repeat offense, suspend or close his account.
11. Modification of the CGA
Market reserves the right to modify these T&Cs at any time. Changes will be notified to Authors by email or via their account on the platform. The Author must accept the new terms to continue selling their Content on Market.
12. Termination
The Author may terminate his/her account at any time by contacting customer support. In the event of termination, the Author's Content will be removed from sale, but sales made prior to termination will remain subject to these T&Cs.
13. Disputes
Any dispute relating to the use of the platform by an Author will be submitted to the competent courts of the registered office of SIDL CORPORATION. Market, however, favors the amicable resolution of disputes with Authors.
